Consulting Services Agreement
By engaging Framz for consulting services, you accept these Terms of Service. Please read carefully to understand your rights and responsibilities.
Terms of Service
1. Acceptance of Terms
By engaging Framz for consulting services ("Services"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
2. Service Description
Framz provides technology consulting services to businesses, including:
- Software Development: Custom web and mobile application development
- DevOps Consulting: CI/CD pipelines, infrastructure automation, container orchestration
- Data Analytics: Business intelligence, data visualization, predictive analytics
- Cloud Solutions: Cloud migration, architecture design, managed services (AWS, Azure, GCP)
- AWS Cost Optimization: Cost analysis, resource rightsizing, reserved instance planning
- AI Automation: Intelligent process automation, RPA, document processing
- AI Chatbot & Booking: Context-aware chatbots, intelligent booking systems
Services are provided on a project basis, retainer agreement, or hourly consultation as specified in your Statement of Work (SOW).
3. Engagement Process
Initial Consultation
All projects begin with a free initial consultation to understand your requirements and determine if we're a good fit.
Statement of Work (SOW)
For each project, we'll provide a detailed SOW outlining:
- • Project scope and deliverables
- • Timeline and milestones
- • Pricing and payment terms
- • Assumptions and dependencies
- • Acceptance criteria
Work begins only after both parties sign the SOW.
4. Fees and Payment
Pricing Models
- • Fixed Price Projects: Total cost defined in SOW, paid in milestones
- • Time & Materials: Hourly rates specified in SOW, invoiced weekly or monthly
- • Retainer: Monthly fee for ongoing services, minimum 3-month commitment
Payment Terms
- • Invoices are due within 15 days of receipt
- • Fixed price projects typically require 50% upfront, 50% upon completion
- • Late payments incur a 1.5% monthly interest charge
- • Services may be suspended for overdue invoices exceeding 30 days
Expenses
Client is responsible for reimbursing approved expenses including:
- • Cloud infrastructure costs (AWS, Azure, GCP)
- • Third-party software licenses
- • Travel expenses (if applicable)
All expenses require prior written approval and will be invoiced at cost with receipts.
5. Client Responsibilities
To ensure successful project delivery, Client agrees to:
- • Provide timely access to necessary systems, data, and personnel
- • Respond to information requests within agreed timeframes
- • Designate a primary point of contact with decision-making authority
- • Review and approve deliverables within agreed timeframes (typically 5 business days)
- • Provide accurate and complete requirements
Note: Delays caused by Client may result in project timeline extensions and additional fees.
6. Intellectual Property
Client-Owned Work Product
Upon full payment, Client owns all custom code, designs, and deliverables created specifically for Client ("Work Product").
Framz Retained Rights
Framz retains ownership of:
- • Pre-existing tools, frameworks, and methodologies
- • Generic solutions not specific to Client's business
- • Knowledge and experience gained during the project
License to Pre-Existing Materials
Where Work Product incorporates Framz's pre-existing materials, Client receives a perpetual, non-exclusive license to use such materials as part of the Work Product.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information:
- • Framz will not disclose Client's confidential business information, data, or trade secrets
- • Client will not disclose Framz's methodologies, pricing, or proprietary processes
- • Confidentiality obligations survive termination for 5 years
- • Exceptions: information that is public knowledge or required by law to disclose
8. Warranties and Disclaimers
Service Warranty
Framz warrants that:
- • Services will be performed in a professional and workmanlike manner
- • Work Product will materially conform to specifications in the SOW
- • We will correct defects at no charge for 90 days after delivery
Disclaimer
EXCEPT AS EXPRESSLY STATED ABOVE, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee:
- • Specific business outcomes or ROI
- • Compatibility with all third-party systems
- • Error-free operation in all environments
9. Limitation of Liability
To the maximum extent permitted by law:
- Liability Cap: Our total liability shall not exceed the fees paid by Client in the 12 months preceding the claim
- Excluded Damages: We are not liable for indirect, incidental, consequential, or punitive damages including loss of profits, data, or business opportunities
- Exceptions: This limitation does not apply to our gross negligence, willful misconduct, or breach of confidentiality
